2. How is the board of directors compensated?
Each director of the Company who is not an employee of the company receives an annual fee for acting as a director on the Board and each committee served, plus a further fee for each Board and committee meeting attended. The annual board retainer of a participant cannot be paid to the participant entirely in cash unless the participant holds deferred share units and equity shares having a market value at least equal to a defined ownership target, which was increased in February 2006 by the Board of Directors. The fees received by the directors in 2006 is on page 11 of the 2007 Information Circular.The fees to be received by each director for 2007 are outlined in the table below.

Directors who are requested by the Chair to perform additional tasks or assignments on behalf of the Board may in certain circumstances receive an additional $1,500 per diem fee for such services. No such fees were paid in 2006. Directors also receive an additional fee of $1,500 per meeting if they are, or otherwise would be, required to travel in excess of six hours (return) from their principal residence and in certain other circumstances, to a TELUS board meeting.
